And, what exactly does this Proposal mean? e.g. is it, perhaps, one agreived

If its money owed I thought that was listed as winding up? strike off
use to be because the company had not filed accounts, even after
warnings. Which ever the reason its coming to an end, if you think its
still trading then give company house a call

The accounts show £2 in the bank lol

and this notice has been actioned by the owners

If its money owed I thought that was listed as winding up? strike off

That puts a different light on the issue. It is a dormant company and
therefore not legally trading if it is trading which I doubt. It is a
legitimate way of protecting a company against default etc but usually
only used by 'iffy' shareholders who are expecting something to go
wrong with their company which could be, for arguments sake something
like Domiciliary Care Development Ltd. That is of course a made up
name but the directors of that company could be hoping to expand and
have a dormant company already made up ready for when they do and it
remains dormant as long as they keep sending in company returns as
such. It should not be trading though.

It usually means that the company returns have not been made for
sufficiently long to cause concern. If the returns have not been made
because the company secretary and directors have quit it is best to
stay away from that company in it's present form. Very often companies
that go this route open again with a different name but the same
directors etc, known as phoenix companies and very rarely trustworthy.
I have broken two in the last few years locally and in the past, when
I was working I have broken many, including one belonging to Saleh
Jambo although his ownership was disguised behind nominees in the CI's
but I still got it and him.
